Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and GYST Baby LLC, the owner and operator of the GYST Baby application ("GYST Baby," "GYST," "we," "us," "our"). They govern your access to and use of GYST. Your Medical & Safety Disclaimer and Privacy Policy are part of these Terms by reference.

By tapping "Agree & Continue," creating a plan, or otherwise using GYST, you agree to these Terms. If you do not agree, do not use GYST.

1. Eligibility

GYST is intended only for adults who are at least 18 years old (or the age of majority where you live) and able to form a binding contract. GYST is not directed to children, and you may not use it if you are under that age. You are responsible for anything done through your device.

2. What GYST is — educational organization, not advice

GYST helps you organize a personalized timeline of suggested appointments, to-dos, milestones, questions, and gear education for pregnancy and early childhood. All content is general, educational, and organizational only. It is not medical, nursing, nutritional, mental-health, legal, financial, or safety advice, and it is not a substitute for consultation with qualified professionals who know you and your child. Please read the Medical & Safety Disclaimer in full — it is incorporated here and you accept it by accepting these Terms. You assume the risk of any use of GYST.

Developmental milestone content in GYST (including checklists modeled on the CDC's "Learn the Signs. Act Early." program and related tips) is educational reference material only. GYST is not a developmental screening, assessment, or diagnostic tool, and checking or not checking milestones in GYST has no clinical meaning. Every child develops at their own pace; only qualified professionals who examine your child can evaluate development.

3. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use GYST on Apple devices you own or control, for your own personal, non-commercial use. We reserve all rights not expressly granted.

4. Acceptable use

You agree not to: (a) use GYST for any unlawful, harmful, or fraudulent purpose; (b) rely on GYST in place of professional care or in an emergency; (c) copy, modify, reverse-engineer, decompile, or create derivative works from GYST except as permitted by law; (d) interfere with or disrupt the app or attempt to gain unauthorized access; (e) remove or obscure any notices; or (f) use GYST in any way that could harm you, your child, or others.

5. Your content

GYST lets you add your own notes, tasks, events, and questions ("Your Content"). You keep ownership of Your Content. Your Content is stored on your device and, if you are signed in to iCloud, synced through your own private iCloud account so it appears on your other devices. It is never transmitted to us — we operate no servers (see the Privacy Policy). GYST also lets you record family members and caregivers, track milestones you observe, and export or share information (for example, shopping lists, to-do lists, or milestone updates) through your device's share features. Anything you share leaves the app through channels you choose (such as Messages or email) and is your responsibility; make sure you have any needed permission before sharing information about others, and be thoughtful about where you send information about your child. You are solely responsible for Your Content and for any decisions you make based on it. You represent that you have the right to use any information you enter.

6. Product information, recommendations, and third-party links

GYST may now or in the future include educational comparisons, recommendations, links, or references to third-party products, services, retailers, registries, or websites. We do not manufacture, sell, inspect, endorse, or warrant any third-party product or service, and we are not responsible for them. Any purchase or transaction you make is solely between you and the third party, on their terms. Product availability, prices, specifications, safety information, and recall status change frequently; always confirm current details and safety guidance with the manufacturer, the retailer, and a qualified professional (for car seats, a certified child passenger safety technician) before relying on anything in GYST. We are not liable for any third-party product, service, content, or website.

7. Advertising, sponsorship, and affiliate relationships

GYST may now or in the future display advertising or sponsored content, participate in affiliate or referral programs, or receive compensation, commissions, free products, or other consideration when you view content or click links or buy products ("Material Connections"). Where required, sponsored or paid placements and affiliate links will be clearly and conspicuously labeled (for example, "Sponsored," "Ad," or "We may earn a commission"), consistent with U.S. Federal Trade Commission guidance. A Material Connection does not make any product safe, suitable, endorsed by us, or medically recommended, and you should evaluate all products independently and with a professional. Compensation does not change the educational, non-advice nature of GYST.

8. Disclaimer of warranties

GYST and all content are provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, reliability, title, and non-infringement, and any warranty that GYST will be uninterrupted, error-free, secure, or that any information is accurate, complete, current, or suitable for you. No advice or information you obtain from GYST creates any warranty not expressly stated here.

9. Limitation of liability

To the fullest extent permitted by law, in no event will GYST Baby LLC, its owners, members, officers, employees, contractors, contributors, licensors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for any personal injury, illness, emotional distress, or wrongful death, arising out of or relating to your use of (or inability to use) GYST or any content, reliance, product, or third party, whether based in contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to GYST will not exceed the greater of (a) the total amount you paid us for GYST in the twelve months before the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages (including for personal injury or gross negligence). In those jurisdictions, the exclusions and limitations above apply only to the extent permitted, and nothing in these Terms limits liability that cannot be limited by law.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GYST Baby LLC and its owners, members, officers, employees, contractors, and agents from any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of GYST, Your Content, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Intellectual property

GYST and its original content, features, design, and software are owned by us and our licensors and are protected by intellectual-property laws. The license in Section 3 does not transfer any ownership to you.

12. Privacy

Our Privacy Policy explains how information is handled. By using GYST you agree to the Privacy Policy.

13. Changes to GYST and to these Terms

We may modify, suspend, or discontinue GYST or any feature at any time. We may also update these Terms, the Disclaimer, or the Privacy Policy. When we make material changes, we will update the version and effective date and ask you to review and accept the current version. Your continued use after an update means you accept the updated documents. Prior accepted versions remain available to you in Settings.

14. Termination

You may stop using GYST and erase your data at any time in Settings. We may suspend or end your license if you violate these Terms. Sections that by their nature should survive (including Sections 2 and 6–11) survive termination.

15. Governing law

These Terms are governed by the laws of the State of [GOVERNING-LAW STATE — to be finalized], USA, without regard to conflict-of-laws rules, except where your local consumer-protection law provides otherwise.

16. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

First, you agree to try to resolve any dispute informally by contacting us at info@GYSTBaby.com and allowing 30 days to resolve it. If that fails, any dispute arising out of or relating to GYST or these Terms will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring a claim in small-claims court. You and we waive any right to a jury trial and agree that claims may be brought only in an individual capacity, not as a plaintiff or class member in any class or representative action.

This section does not apply to the extent prohibited by law. Where binding arbitration or a class-action waiver is not enforceable (including in many jurisdictions outside the U.S. and against certain consumers), it will not apply to you, and nothing here waives rights you cannot waive by law.

These Terms (with the Disclaimer and Privacy Policy) are the entire agreement between us about GYST. If any provision is unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Headings are for convenience only.
